We also follow our own code of best practices, which prioritizes transparency, responsiveness and accountability. According to this code, we seek to make all information available to all Members and relevant parties as and when it becomes available, we seek to respond to any and all queries, issues and areas for improvement immediately and substantively, and we seek to hold ourselves and our Members accountable, in the interests of high quality, reliable and personable services.
Hosts alone are responsible for identifying, understanding, and complying with all relevant international, Egyptian, and/or local laws, rules and regulations that apply or may apply to their Listings and Host Services (services as defined below). For example, some countries, cities or districts may have laws that restrict the ability to host paying guests for certain periods of time or to provide certain Host Services. Certain types of Host Services may be prohibited altogether. In some countries, cities and districts, Hosts may have to register, obtain a particular permit or license before providing certain Host Services (for example, preparing food, serving alcohol for sale, guiding tours or operating a vehicle). Hosts alone are responsible for identifying and obtaining any required licenses, permits, or registrations for any Host Services they offer. Hosts alone are liable for any penalties, fines or enforcement measures for failing to comply with applicable laws, rules and regulations. If you have questions about how international, Egyptian and/or local laws apply to your Listing(s) and Host Service(s), you should always seek independent legal advice.
These terms and conditions of our service (henceforth referred to as “Terms and Conditions”) define and constitute a legally binding agreement (“Agreement”) between you and EZURU Company (Egypt) for Ecommerce and Real Estate Investment (Limited Liability Company), known and henceforth referred to as “EZURU” with its head office at Room 1, Apartment No. 2, ground floor, building No. 62 A, Ammar Ibn Yasser St., Heliopolis, Cairo Governorate, incorporated under Law No. 159 of the year 1981 holding Commercial Register under No. 138018, represented in Egypt by Mr. Ehab Mohamed Mohamed El Sawy Hassan, in his capacity as the Company’s Manager.
When these Terms and Conditions mention “EZURU,” “we,” “us,” or “our,” they refer to this EZURU Company.
This agreement is legally binding and dictates your use of and access to EZURU services, including its website, any subdomains, and any other websites through which it makes its services available (henceforth, collectively referred to as “Sites”), any mobile, tablet and other electronic device applications, and any application program interfaces (henceforth, collectively referred to as “Applications”), and all incidental and associated services (henceforth, collectively referred to as “EZURU Services”). The Sites, Applications, and EZURU Services together are henceforth collectively referred to as the “EZURU Platform”.
Any and all payment processing services through or in connection with your use of the EZURU Platform (henceforth referred to as "Payment Services") are provided to you by one or more EZURU entities or authorized third parties, as set out in the Payment Terms of Service (henceforth referred to as “Payments Terms").
The EZURU Platform is an online Ecommerce platform that enables registered users (henceforth referred to as “Members”) and certain third parties who offer services (Members and third parties who offer services are henceforth referred to as “Hosts”, and the services they offer are henceforth referred to as “Host Services”) to showcase their unique residential or vacation accommodation (henceforth referred to as “Accommodation”), restaurants, attractions, and activities (henceforth referred to as “Experiences”), and concerts and cinematic shows (henceforth referred to as “Events”), for booking.
3. Applicable Law and Jurisdiction
These Terms and Conditions will be interpreted in accordance with Egyptian law. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. If you are acting as a consumer, you agree to submit to the non-exclusive jurisdiction of the Egyptian Courts. Judicial proceedings that you are able to bring against us arising from or in connection with these Terms and Conditions may only be brought in a Court located in Egypt. If EZURU wishes to enforce any of its rights against you as a consumer, we may do so only in the Courts of Egypt. If you are acting as a business, you agree to submit to the exclusive jurisdiction of the Egyptian Courts.
4. General Provisions
Except as they may be supplemented by additional terms and conditions, policies, guidelines or standards, these Terms and Conditions and Associated Terms and Policies as referenced herein, constitute the entire Agreement between EZURU and you pertaining to the use of the EZURU Platform and associated services, and supersede any and all prior oral or written understandings or agreements, express or implied, between EZURU and you in relation to your access to and use of the EZURU Platform.
Egypt is our Country of domicile.
No joint venture, partnership, employment, or agency relationship exists between you and EZURU as a result of this Agreement or your use of the EZURU Platform.
These Terms and Conditions do not and are not intended to confer any rights or remedies upon any person other than the parties.
If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision will be struck out and will not affect the validity and enforceability of the remaining provisions.
EZURU’s failure to enforce any right or provision in these Terms and Conditions will not constitute a waiver of such right or provision unless acknowledged and agreed to by us, expressly and in writing. Except as expressly set forth in these Terms and Conditions, the exercise by either party of any of its remedies under these Terms and Conditions will be without prejudice to its other remedies under these Terms and Conditions or as otherwise permitted under applicable law.
You may not assign, transfer or delegate this Agreement or your rights and obligations hereunder without EZURU 's prior written consent. EZURU may without restriction assign, transfer or delegate this Agreement and any rights and obligations hereunder, at its sole discretion, with thirty (30) days prior notice. Your right to terminate this Agreement at any time remains unaffected.
Unless specified otherwise, any notices or other communications to Members permitted or required under this Agreement, may be provided and given by EZURU via email, EZURU Platform notification, messaging service or other appropriate means of communication.

5. Scope of EZURU Services and Definitions
EZURU itself does not own, create, sell, resell, control, manage, offer, deliver or supply any Listing or Host Services. EZURU is not an organizer, agent or retailer of travel packages or travel related services under international, Egyptian, or local law, or otherwise, and EZURU is not a real estate broker or insurer. Hosts are solely and fully liable for their Listings and Host Services. When Members make or accept a booking, they are entering into a contract directly with each other, to which EZURU is not and does not become a party or participant. EZURU acts as an agent for Members only to the extent set out in its Payment Terms.
EZURU does not make any guarantees as to the existence or nature of any Listings or Host Services, including as to the truth or accuracy of descriptions of Listings, the quality, safety and legality of Host Services, or other Member Content, or the conduct of any Member or third party. EZURU does not endorse any Member, Member Content, Listing or Host Services. Any indication of “verification” by EZURU means only that a Member has completed the relevant verification process, and does not constitute an endorsement or guarantee as to the Member’s identity, background, or character. You should always exercise care and discretion when reviewing Listings and choosing Host Services.
If you choose to use the EZURU Platform as a Host, for publishing Listing(s) of your Service(s), your relationship with EZURU is as an independent, third party contractor acting on your own behalf and for your own benefit, not as an employee, agent, joint venturer or partner of EZURU, and not acting on behalf, or for the benefit, of EZURU. As above, EZURU does not and shall not be deemed to control or manage you or your conducting relation to these Terms and Conditions, or in relation to your provision of Host Services. You should always exercise care and discretion in publishing Listings and in providing Host Services, or otherwise engaging in business or employment activities in relation to the EZURU Platform, and you acknowledge this and agree to do so.
EZURU may display Member Content in online and offline advertising materials, on other websites, in applications, and within emails, for the purposes of promoting the EZURU Platform and increasing exposure to Listings. EZURU may also translate Member Content, in whole or in part, to assist prospective guests and Members who speak different languages. EZURU does not make any guarantees as to the accuracy or quality of such translations, and Members are solely and fully responsible for ensuring the accuracy of any such translations of their own Listings or Member Content. Any translations powered by Google are subject to its own disclaimer of all warranties of accuracy, reliability, and any implied warranties for merchantability, fitness for a particular purpose and non-infringement.
The EZURU Platform may include links to third party websites and/or resources (henceforth referred to as “Third Party Services”), which does not constitute endorsement of any such material or services. Third Party Services may be subject to terms and conditions, privacy practices and/or other policies that differ from these Terms and Conditions. Members are solely liable for their actions and decisions in relation to Third Party Services, and EZURU does not make any guarantees, nor assume any liability, in relation to the existence or nature of such Third Party Services.
EZURU does not make any guarantees as to the continuous availability and accessibility of the EZURU Platform, particularly in light of the nature of the internet. EZURU may restrict the availability of the EZURU Platform, in whole or in part, if it deems this to be necessary in terms of capacity, security, the integrity of our servers, or maintenance and improvement of the EZURU Platform. EZURU may change, improve, enhance and modify the EZURU Platform and introduce new services from time to time. EZURU assumes no liability for any loss, actual or perceived, caused by restriction of the availability of the EZURU Platform, or by maintenance and improvement of the EZURU Platform and EZURU services.
6. Using the EZURU Platform
To register for an EZURU Account or to access and use the EZURU Platform you must be an individual of at least 18 years of age, or a duly organized, validly existing business, organization or other legal entity in good standing in accordance with the applicable laws, and able to enter into legally binding contracts.
You will comply with any applicable Egyptian and/or other applicable export control laws.
EZURU may make access to and use of the EZURU Platform, or certain features of the EZURU Platform, subject to certain conditions or requirements, such as completing a verification process or identity check, meeting criteria related to eligibility and/or history of conduct as a Member, including in terms of Ratings and Reviews.
EZURU does not make any guarantees, nor assume any liability, in relation to Member identity, particularly in light of the nature of the internet. Nonetheless, EZURU may, as permitted by the applicable laws, carry out identity and/or background checks, including by asking Members to provide a form of government identification or other information, by screening Members against third party databases, and by obtaining reports from public records of criminal convictions or sex offender registrations or the relevant local equivalent. EZURU reserves the right to impose separate and additional terms and conditions in relation to certain features of the EZURU Platform, or certain services, which you will be required to accept before you can access and use such features or services. If any conflict exists between these Terms and Conditions and the additional terms and conditions applicable to certain features or services, then the latter shall take precedence in relation to your access to or use of those features or services, unless the latter otherwise specifies.
If you access or download EZURU Applications from the Apple App Store, you agree to Apple’s licensed Application End User License Agreement, to which EZURU is not a party, and for which you are solely and fully liable. Similarly, if the EZURU Platform includes Google Maps/Earth services, your use of those services will be subject to the Google Maps/Google Earth separate terms of service, to which EZURU is not a party and for which you are solely and fully liable.
7. Modification of these Terms and Conditions
EZURU reserves the right to modify these Terms and Conditions at any time, in accordance with this provision. If we make changes to these Terms and Conditions, we will post the revised Terms and Conditions on the EZURU Platform and update the “Last Updated” date at the top of these Terms and Conditions. We will also provide you with notice of the modifications at least thirty (30) days before the date they become effective. If you disagree with the revised Terms and Conditions, you may terminate this Agreement with immediate effect by giving us written notice of your decision to do so. If you do not terminate your Agreement before the date the revised Terms and Conditions become effective, your continued access to and/or use of the EZURU Platform will constitute acceptance of the revised Terms and Conditions, and will be subject to those Terms and Conditions as revised.
8. Account Registration
You must register an account ("EZURU Account") to access and use certain features of the EZURU Platform, such as publishing or booking a Listing. If you are registering an EZURU Account for a business, organization or other legal entity, you represent and warrant that you have the authority to legally bind that entity and grant us all permissions and licenses as required under these Terms and Conditions.
You can register an EZURU Account using an email address and creating a password, or through your account with certain third party social networking services, such as Facebook or Google ("SNS Account").
You undertake to provide accurate, current and complete information during the registration process and to keep your EZURU Account and public EZURU Account profile page information up-to-date at all times.
EZURU assumes no liability for ensuring that you do so, or that your Member Content is accurate and up to-date.
You may not register more than one (1) EZURU Account unless EZURU otherwise authorizes you to do so, expressly and in writing. You may not assign or otherwise transfer your EZURU Account to any other party. No third party is authorized to use or ask for your credentials, and you shall not request the credentials of another Member.
You are solely and fully responsible for maintaining the confidentiality and security of your EZURU Account. You may not disclose your password or credentials to any other party. If you know or have any reason to believe that your password or credentials have been lost, stolen, misappropriated, or otherwise compromised, or in case of any actual or suspected unauthorized use of your EZURU Account, you must immediately notify EZURU. You are liable for any and all activities conducted through your EZURU Account, unless such activities are not authorized by you and you have reported unauthorized use or suspected unauthorized use or loss of your credentials, as above.
EZURU may, in its sole discretion, allow Members to create, upload, post, send, receive and store content, including text, photos, audio, video, and other material, on or through the EZURU Platform (such material is elsewhere referred to as “Member Content”). EZURU may also, in its sole discretion, allow Members to access and view Member Content and any other content that EZURU makes available on or through the EZURU Platform, including that owned by or licensed to EZURU, and that authorized for use by EZURU from a third party (elsewhere referred to as “EZURU Content” and, together with Member Content, “Collective Content”).
EZURU Content and Member Content, as well as the EZURU Platform itself, may be protected by copyright, trademark, and/or other international, Egyptian and local laws, in whole or in part. You acknowledge and agree that the EZURU Platform and EZURU Content, and all associated intellectual property rights, are the exclusive property of EZURU and/or its licensors or authorizing third parties. You undertake not to remove, alter or obscure any copyright, trademark, service mark, or other proprietary rights marks or notices included in EZURU Content, Member Content, or the EZURU Platform. All trademarks, service marks, logos, trade names, and any other source identifiers of EZURU used on or in connection with the EZURU Platform and EZURU Content are trademarks or registered trademarks of EZURU in Egypt and/or abroad. Any trademarks, service marks, logos, trade names and any other proprietary marks of third parties used on or in connection with the EZURU Platform, EZURU Content, and/or Collective Content, are used for identification purposes only and may be the property of their respective owners.
You agree that you will not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display or perform, transmit, broadcast, or otherwise exploit the EZURU Platform or Collective Content, beyond the extent to which you are the legal owner of certain Member Content or otherwise except as explicitly permitted in these Terms and Conditions. EZURU does not grant you any licenses or rights by implication or otherwise, in relation to any intellectual property rights owned or controlled by EZURU or its licensors, except as expressly provided for in these Terms and Conditions.
EZURU may offer Hosts or otherwise make available professional photography services for the purpose of producing and publishing verified images, which will be made available to Hosts for use with or without a watermark or other proprietary mark, and may include the words "EZURU.COM Verified Photo" or similar wording. You are responsible for ensuring that your Host Service is accurately represented in any such verified images and you will stop using these or any other images on or through the EZURU Platform if they no longer accurately represent your Listing, if you stop hosting the Host Service featured, or if your EZURU Account is terminated or suspended for any reason. You acknowledge and agree that EZURU shall have the right to use any images for advertising, marketing and/or any other business purposes in any media or platform, whether in relation to your Listing or otherwise, without further notice or compensation to you. Where EZURU is not the exclusive owner of images, by using such images on or through the EZURU Platform, you grant to EZURU an exclusive, worldwide, royalty-free, irrevocable, perpetual (or for the term of the protection), sub-licensable and transferable license to use such images for advertising, marketing and/or any other business purposes in any media or platform, whether in relation to your Listing or otherwise, without further notice or compensation to you. In return, EZURU grants you a limited, non-exclusive, non-sublicensable, revocable, nontransferable license to download and use our Applications on your personal device(s) and to access and view any Collective Content made available on or through our Platform, solely for your personal and non-commercial use.
You are solely and fully responsible for any and all Member Content that you publish or otherwise make available on or through the EZURU Platform. You acknowledge this, and warrant that you are either the sole and exclusive owner of all Member Content that you publish or otherwise make available on or through the EZURU Platform, or that you have all rights and/or licenses necessary to grant to EZURU the rights to Member Content as required in these Terms and Conditions. You also warrant that neither the Member Content itself, nor your publishing or otherwise making available that content, nor EZURU’s use of that content as provided for in these Terms and Conditions, will infringe or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable international, Egyptian or local law or regulation. EZURU is not liable for any infringement caused by your breaching this clause of the Terms and Conditions.
You undertake not to publish or otherwise make available any Member Content that is fraudulent, false, misleading, deceptive, defamatory, libelous, obscene, pornographic, offensive, discriminatory, violent, threatening, inflammatory, supportive of discrimination, violence or illegal or harmful activities or substances, or otherwise in violation of these Terms and Conditions or of reasonable community standards. EZURU reserves the right to remove or disable access to any Member Content that EZURU finds to be in violation of these Terms and Conditions or of applicable international, Egyptian or local law, or otherwise harmful or objectionable to EZURU, its Members or third parties.
EZURU respects copyright laws and expects its Members to do the same. If you believe that any content on the EZURU Platform infringes copyright that you own, please notify us.
10. Service Fees
EZURU may charge fees to Hosts ("Host Fees") and/or Guests ("Guest Fees") (collectively, "Service Fees") in consideration for the use of the EZURU Platform. Service Fees are calculated on a percentage basis, are included in the total price payable by Guests, and are deducted from the total money receivable by Hosts.
Additional services (such as for parking and transport) may be made available at an additional flat rate. The details of such fees will be displayed as appropriate.
Any applicable Service Fees (including any applicable Taxes) will be displayed to a Host or Guest for acceptance at the time of publishing or booking a Listing. EZURU reserves the right to change the Service Fees at any time, without prior notice, but Members will always be made aware of applicable fees before incurring them and will not be charged without accepting them. Fee changes will not affect any bookings made prior to the effective date of the fee change.
You are responsible for paying any Service Fees that you owe to EZURU. The applicable Service Fees (including any applicable Taxes) will be collected by EZURU. As above, any Guest Fees are included in the Total Fees collected by EZURU, and EZURU will deduct any Host Fees from the Listing Fee before remitting the payout to the Host. Except as otherwise provided on the EZURU Platform, Service Fees are nonrefundable.
11. Terms specific for Hosts
11.1 Terms applicable to all Listings
When creating a Listing as a Host, through the EZURU Platform, you must provide accurate and complete information about the Host Services you are providing, including in relation to description, location and calendar availability. You must also disclose any relevant issues, deficiencies, restrictions (including minimum age) and requirements (such as fitness requirements) that may apply and may affect a prospective Guest’s ability to engage or make use of the Host Services. You must provide all relevant information including any information requested by EZURU. You are responsible for keeping your Listing information (including calendar availability) up-to-date at all times.
You are solely and fully responsible for setting a price (including any Taxes if applicable, or additional charges such as cleaning fees) for your Listing (“Listing Fee”). Once a Guest requests a booking of your Listing, you cannot add any additional fees not already advertised, nor request a higher price than that advertised in the Listing.
Any terms and conditions included in your Listing, in particular in relation to cancellations, must not conflict with these Terms and Conditions or with our Cancellation Policy.
Pictures, animations or videos (collectively, "Images") used in your Listings must accurately reflect the nature, quality and condition of your Host Services, including its size and sleeping capacity. EZURU reserves the right to require that Listings have a minimum number of Images of a certain format, size and resolution. EZURU also reserves the right to require Images to be changed, removed or replaced, if it considers that they do not accurately reflect the Host Services.
EZURU reserves the right to organize the presentation of Listings according to Guest search preferences and filters, price, calendar availability, the number and quality of images, Ratings and Reviews, customer service and cancellation history, type of Host Service, and ease of booking.
EZURU allows Hosts to either screen booking requests for confirmation on a case-by-case basis or to opt for automatic approval of booking requests by eligible Guests subject to availability and payment of the Total Fees.
When you as a Host accept or pre-approve a booking request by a Guest, or when it is automatically confirmed according to your preference selection, you are entering into a legally binding agreement with the Guest and are required to provide your Host Service(s) to the Guest as described in your Listing according to the price and terms set out in that Listing at the time of the booking request. You also agree to pay the applicable Host Fee and any applicable Taxes.
EZURU highly recommends that Hosts obtain insurance for their Host Services. Please review any relevant insurance policy carefully, and make sure that you are familiar with and understand any exclusions to, and any deductibles that may apply for, such insurance policy, including but not limited to whether or not your insurance policy will cover the actions or inactions of Guests (and the individuals the Guest has booked for, if applicable) while staying at your Accommodation or engaging other Host Services.
11.2 Listing Accommodations
You may not list more than one Host Service per Listing, unless otherwise agreed to by EZURU, expressly and in writing.
If you wish to require a security deposit for your Accommodation or other Host Service, you must specify this in your Listing ("Security Deposit"). Hosts are not allowed to ask for a Security Deposit after a booking has been confirmed or otherwise outside of the EZURU Platform.
By agreeing to these Terms and Conditions you represent and warrant that any Listing you publish as a Host, and the booking of such Host Service(s) by a Guest, will not breach any agreements you have with third parties, or otherwise violate the rights of third parties or breach applicable international, Egyptian, or local laws, Tax requirements, or other rules and regulations. As a Host you are solely and fully liable for your own acts and omissions, and the acts and omissions of any individuals who are present at the Accommodation or party to the provision of Host Services at your request or invitation, excluding the Guests and any individuals invited by the Guests, to the extent that their residence at your Accommodation or engagement of your Host Services is covered by your agreement with them and/or any relevant insurance policy.
12. Terms specific for Guests
12.1 Terms applicable to all bookings
Subject to your meeting any requirements as a Guest (such as satisfactorily completing any verification process) set by EZURU and/or the Host, you can book a Listing published on the EZURU Platform by following the relevant booking process, subject to calendar availability and payment of all applicable fees, including the Listing Fee, Security Deposit (if applicable), Guest Fee and any applicable Taxes (collectively referred to as “Total Fees”).The Total Fees will be presented to you prior to booking a Listing. You agree to pay the Total Fees for any booking requested in connection with your EZURU Account and are solely and fully liable for the payment of the Total Fees once booking is complete, subject to our Cancellation Policy and the applicable cancellation policy of the Host.
Once booking is complete, and you have received confirmation of such from EZURU, a legally binding agreement exists between you as a Guest and your Host, to which EZURU is not a party, subject to any additional terms and conditions, rules and restrictions of the Host that may apply as per the Listing, including the applicable cancellation policy. EZURU will collect the Total Fees electronically at the time of the booking request or upon the Host’s confirmation, subject to EZURU’s Payment Terms of Service, through secure third party payment services. For certain bookings, Guests may be permitted or required to pay in multiple instalments.
12.2 Booking Accommodations
You acknowledge and agree that a confirmed booking of an Accommodation (“Accommodation Booking”) is a limited license granted to you as a Guest by the Host to enter, occupy and use the Accommodation for the duration of your stay, during which time the Host (to the extent permitted by applicable law) retains the right to re-enter the Accommodation, in accordance with your agreement with the Host and as reasonable.
You agree to leave the Accommodation no later than the checkout time that the Host specifies in the Listing or such other time as mutually agreed upon between you and the Host.
If you stay past the agreed upon checkout time without the Host's consent (“Overstay”), you no longer have a license to stay in the Accommodation and the Host is entitled to make you leave in a manner consistent with applicable law. In addition, you are liable to pay, if requested by the Host, for each twenty-four (24) hour period (or any portion thereof) that you Overstay, calculated from the agreed time of check-out, an additional nightly fee of up to two (2) times the average nightly Listing Fee originally paid by you to cover the inconvenience suffered by the Host, plus all applicable Guest Fees, Taxes, and any legal expenses incurred by the Host to make you leave (collectively, "Overstay Fees"). Overstay Fees for late checkouts on the checkout date that do not impact upcoming bookings may be limited to the additional costs incurred by the Host as a result of such Overstay. If you Overstay at an Accommodation, you authorize EZURU to charge you to collect Overstay Fees. A Security Deposit, if required by a Host, may be applied to any Overstay Fees.
12.3 Booking Experiences and Events
You should carefully review the description of any Experience, Event or other Host Service you intend to book to ensure that you (and any additional guests you are booking for) meet any minimum age, fitness and/or other requirements which the Host has specified in their Listing. At your sole discretion you may want to inform the Host of any medical or physical or mental conditions, or other circumstances that may impact you and any additional guest’s ability to engage and participate in any Experience, Event or other Host Service. In addition, certain local laws, like the minimum legal driving age, may also apply. You acknowledge and agree that you are responsible for identifying, understanding, and complying with all laws, rules and regulations that apply to your engagement of and/or participation in an Experience, Event or other Host Service.
You acknowledge and agree that before and during an Experience, Event or other Host Service, you must at all times adhere to the instructions of the Host, pertaining to that service, and ensure that any minors for whom you are responsible likewise so adhere.
You acknowledge and agree that you may not bring any additional individuals to an Experience, Event or other Host Service unless such an individual was added by you as an additional guest during the booking process on the EZURU Platform, or was otherwise explicitly agreed to by the Host, and meets the relevant requirements for participation.
13. Booking Modifications, Cancellations and Refunds
Members, as both Hosts and Guests, acknowledge and agree that they are themselves responsible for any modifications to a booking that they make via the EZURU Platform or that they direct EZURU customer service to make ("Booking Modifications"), and that they are liable to pay any additional Listing Fees, Host Fees or Guest Fees and/or Taxes associated with such Booking Modifications.
Guests have the option to cancel a confirmed booking at any time in accordance with the applicable cancellation policy, which is governed by EZURU’s Cancellation Policy, and EZURU will refund any amount owing to the Guest in accordance with such cancellation policy. Any portion of the Total Fees due to the Host, in the event of cancellation, will be transferred by EZURU to the Host, with the possible exception that if Extenuating Circumstances apply, EZURU may refund.
14. The Guest in accordance with our Cancellation Policy.
If a Guest cancels a booking, whether it be for an Accommodation, Experience or Event, because they have suffered a travel issue beyond their control, EZURU may decide, in its sole discretion, to refund the Guest all or part of the Total Fees, excluding the EZURU Service Fees which are non-refundable, as per our Cancellation Policy.
In the event that a Host cancels a confirmed booking, the Guest will receive a full refund of the Total Fees for that booking, excluding the EZURU Service Fees which are nonrefundable. EZURU reserves the right to publish generic/automated Reviews on the Listing to indicate that the booking was cancelled by the host. EZURU also reserves the right to keep the calendar for the Listing unavailable or blocked for the dates of the cancelled booking, and to impose a cancellation fee for which the Host will be liable, unless the Host has a valid reason for cancellation, as per EZURU’s Cancellation Policy.
EZURU also reserves the right to cancel a pending or confirmed booking, in its sole discretion, either in light of extenuating circumstances or where EZURU reasonably believes that this is necessary to avoid significant harm to EZURU, its Members, third parties or property, or for any other reason set out in these Terms and Conditions.
If, in accordance with our Cancellation Policy, the Guest is entitled to a refund upon cancellation of a booking, cancelled either by the Guest or EZURU, and the Host has already received payment for that booking, EZURU shall be entitled to recover the amount of that refund from the Host, including by subtracting such amount out of any future payouts due to the Host, if EZURU so chooses. Refunds will be done only through the original mode of payment.
15. Ratings and Reviews
The EZURU Platform will allow for Guests and Hosts to leave public Reviews and submit Ratings according to a star rating system, to reflect the quality of their experience with the other party. Any Reviews and Ratings published on the EZURU Platform reflect the opinions of the Members who posted them, and not the opinion of EZURU. Reviews and Ratings will not be verified by EZURU. Members are responsible for posting Reviews and Ratings truthfully and accurately, and without offensive or defamatory language. Members must not manipulate Reviews and Ratings, for example by instructing others to write positive or negative Reviews, to portray themselves in a better light or others in a worse light. EZURU assumes no liability for the content or accuracy of Reviews and Ratings.
Ratings and Reviews may be published on a Member’s profile as well as elsewhere on the EZURU Platform, for example on the Listings page. Other relevant information such as the number of bookings and cancellations, and the average response time, may also be published on a Member’s profile and/or elsewhere on the EZURU Platform.
As a Guest you are responsible for leaving the Accommodation in the condition that it was presented to you in, and for exercising reasonable care and caution in the use of any venue and/or resources employed at the site of any Experience or Event. You are responsible for your acts and omissions, and also for the acts and omissions of any individuals whom you invite to, or otherwise provide access to, the Accommodation or the site of the Experience or Event, including minors in your care, but excluding the Host and any individuals that the Host invites to the Accommodation and/or relevant site.
As a Guest you are responsible for any damage that you cause. If the Host makes a claim to EZURU for damage, and you accept it, or if the relevant authority finds in favor of the Host, in the context of litigation or arbitration, EZURU may recover the cost of such damage from you, either against any Security Deposit, or as a holding against your account, to be paid before future bookings can be made. EZURU may assist parties in the resolution of disputes but it does not assume liability for any such resolution or for mediation or arbitration of any dispute. As a Guest, you acknowledge and agree that we may make a claim under your homeowner’s, renter’s, or other insurance policy related to any damage or loss that you have caused or been responsible for, to any property of the Host. You agree to cooperate with and assist EZURU in good faith in any such claim, including by providing all relevant information, and taking all reasonable steps, such as signing and executing documents.
EZURU supports payment amounts that are payable from or to Guests or Hosts to the smallest unit supported by Egyptian or United States currency as applicable (i.e., Egyptian piasters). Where EZURU’s third party payment services provider does not support payments in the smallest unit supported by the relevant currency, EZURU may, in its sole discretion, round up or round down the displayed amounts that are payable from or to Guests or Hosts to the nearest whole functional base unit in the relevant currency (i.e. to the nearest Egyptian pound); for example, EZURU may round up an amount of 101.50 EGP to 102.00 EGP, and round down an amount of 101.49 EGP to 101.00 EGP.
As a Host you are solely and fully liable for any tax obligations in relation to your Host Services, including your obligations to report, collect and remit taxes, and include any applicable VAT or other taxes in your Listing Fees (“Taxes”).
Tax regulations may require EZURU to collect relevant information from Hosts and/or to withhold taxes from payouts to Hosts. EZURU reserves the right to withhold payouts up to the tax relevant amount under the applicable local law, if the Host fails to provide us with the relevant documentation, until tax obligations have been settled and paid.
You acknowledge and agree that the appropriate government agency and/or authority, in the relevant jurisdiction, may require Taxes to be collected from Guests or Hosts on Listing Fees, and to be remitted to the relevant agency/authority. It may be necessary for Taxes to be collected and remitted as a percentage of the Listing Fees set by Hosts in relation to Accommodation, as a set amount per day, or according to other variations (“Occupancy Taxes”).
EZURU may decide, in its sole discretion, to facilitate the collection and remittance of Taxes from Guests or Hosts, in accordance with these Terms and Conditions, if the relevant law asserts that EZURU has a tax collection and/or remittance obligation. You acknowledge this and agree, in the event that EZURU so decides to facilitate collection and remittance, that EZURU may collect Taxes from Guests at the time Listing Fees are collected, and remit those Taxes to the relevant authority, and you hereby provide the necessary authorization for EZURU to do so. Where EZURU is facilitating Collection and Remittance, Hosts are not permitted to collect any Taxes already being collected by EZURU.
EZURU does not assume any liability for the failure of Hosts to comply with any applicable tax reporting or remittance obligations. The amount of Taxes, if any, collected and remitted by EZURU will be included in the Total Fees displayed at the time of publication and/or booking of a Listing, as appropriate.
EZURU reserves the right, without prior notice to Hosts, to cease any Collection and Remittance of Taxes in any instance for any reason.
You acknowledge and agree that any claim or cause of action relating to EZURU’s facilitation of Collection and Remittance of Taxes shall not extend to any supplier or vendor that may be used by EZURU in connection with facilitation of Collection and Remittance, if any. Guests and Hosts agree that we may seek additional amounts from you in the event that the Taxes collected and/or remitted are insufficient to fully discharge your obligations to the Tax Authority, and agree that your sole remedy for Taxes collected is a refund of Taxes collected by EZURU from the applicable tax authority in accordance with applicable procedures set by that authority.
19. Prohibited Activities
You acknowledge and agree that you are solely responsible for compliance with any and all international, Egyptian and/or local laws, rules, regulations, and tax obligations that may apply to your use of the EZURU Platform. In relation to your use of the EZURU Platform, you undertake that you will not, and will not assist or enable others to, breach or circumvent any applicable laws, breach these Terms and Conditions and related Policies, breach any applicable agreements with third parties, or violate any third party rights.
Furthermore, you undertake that you will not, and will not assist or enable others to, use the EZURU Platform in a manner not expressly permitted by these Terms and Conditions, or access or use any information about any Member or the identity or property of any Member in a manner inconsistent with their privacy rights. You undertake that you will not, and will not assist or enable others to, use the EZURU Platform for the distribution of unsolicited advertisements or commercial messages, offer any Host Services that you do not have the permission or capacity to provide, or (unless otherwise permitted by EZURU, expressly and in writing) book any Host Service that you will not personally be engaging yourself.
You undertake that you will not, and will not assist or enable others to, contact any Member for recruitment to join third party services, or for any purpose other than asking a question related to a booking, unless otherwise permitted by EZURU, expressly and in writing. You undertake that you will not, and will not assist or enable others to, use the EZURU Platform to request, make or accept a booking for services not properly listed as Host Services on the EZURU Platform, or for Host Services published in another Listing, to circumvent any Service Fees or for any other reason. For clarity, any private booking of any listed Host Service or any services related to such listed Host Service, between Members, subsequent to cancellation on the EZURU Platform or otherwise outside of the EZURU Platform, is strictly prohibited. You undertake that you will not, and will not assist or enable others to, request, accept or make any payment for Listing Fees outside of the EZURU Platform, and acknowledge and agree that if you do so, you will be solely and fully liable for such payment, and EZURU will be free from any such liability.
You undertake that you will not, and will not assist or enable others to, unlawfully discriminate against anyone, or engage in aggressive, intimidating, violent, harmful or abusive behavior. You undertake that you will not, and will not assist or enable others to, use, display or otherwise represent the EZURU Platform or Collective Content, or any element of such, including any trademark or other proprietary device or information, unless otherwise permitted by EZURU in these Terms and Conditions or Associated Terms and Policies, or otherwise expressly and in writing.
You undertake that you will not, and will not assist or enable others to, damage or harm the EZURU Platform or brand in any way, including through unauthorized use of its Collective Content or misappropriation of its proprietary information. You undertake that you will not, and will not assist or enable others to, use any robots or other means of accessing, processing and/or collecting data or content from the EZURU Platform for your own commercial interest or for any other reason, or avoid, bypass or otherwise attempt to circumvent any protection measures employed by EZURU to safeguard its content and the integrity of the EZURU Platform.
You undertake that you will not, and will not assist or enable others to, decipher, disassemble or reverse engineer any of the software used to provide the EZURU Platform, or take any action that damages or adversely affects, or could damage or adversely affect, the performance and proper functioning of the EZURU Platform.
You undertake that you will not, and will not assist or enable others to, export, re-export, import, or transfer the EZURU Applications except as authorized by Egyptian export control laws, and any other applicable international, Egyptian and/or local laws. You also undertake that you will not, and will not assist or enable others to, use the EZURU Platform to conduct or facilitate any unlawful activity or violate or infringe anyone else’s rights or otherwise cause harm to anyone.
You acknowledge and agree that EZURU has no obligation to monitor or manage access to or use of the EZURU Platform by yourself or any Member, or to review, restrict or edit Member Content or use of the EZURU Platform, but that it reserves its right to do so to ensure compliance with these Terms and Conditions and Associated Terms and Policies and compliance with applicable laws, and protection of the EZURU Platform and EZURU’s proprietary information and any other interests. You agree to cooperate with and assist EZURU in good faith and to provide any information as reasonably requested by EZURU in this regard, in relation to any investigation or protection measures taken.
EZURU respects personal and privacy rights and expects its Members to do the same. If you feel or suspect that any Member is acting or has acted inappropriately in relation to their use of the EZURU Platform, including but not limited to sexually inappropriate or violent behavior, or stealing, you should immediately report such person to the appropriate authorities and then to EZURU, by contacting us with reference to your police station and report number (if available/applicable). You acknowledge and agree that any report made and any correspondence with EZURU in this regard, will not obligate us to take any action (beyond that required by law, if any).
20. Term and Termination, Suspension Etc.
This Agreement shall be effective for a 30-day term, at the end of which it will automatically and continuously renew for subsequent 30-day terms until such time as you or EZURU terminate the Agreement in accordance with this provision.
You may terminate this Agreement at any time by sending us an email. If you cancel your EZURU Account as a Host, any confirmed booking(s) will be automatically cancelled and your Guests will receive a full refund. If you cancel your EZURU Account as a Guest, any confirmed booking(s) will be automatically cancelled and any refund will depend upon the terms of the applicable cancellation policy.
Without limiting our rights, EZURU may terminate this Agreement for convenience at any time by giving you 30 days' notice via email to your registered email address.
EZURU may immediately, without notice, terminate this Agreement and/or stop providing access to the EZURU Platform if you have substantially breached your obligations under these Terms and Conditions or Associated Terms and Policies, you have violated applicable laws or the rights of third parties, or EZURU believes in good faith that such termination is necessary in protection of the safety or property of EZURU, its personnel, its Members, or third parties.
EZURU reserves the right to refuse to publish, to delete or to delay any Listings, Ratings or Reviews, or other Member Content, to cancel any pending or confirmed bookings, to limit access to the EZURU Platform, to temporarily or permanently revoke any special status or access to special features, or to temporarily or permanently suspend your Account, in compliance with applicable law, or if you have breached these Terms and Conditions or Associated Terms and Policies, or if you have provided inaccurate or fraudulent information, or if you fail to meet applicable quality and/or eligibility criteria, or if you have repeatedly received poor Reviews or Ratings, or if you have repeatedly cancelled bookings or failed to respond to booking requests without a valid reason, or if EZURU believes in good faith that such action is necessary in protection of the safety or property of EZURU, its personnel, its Members, or third parties. In some cases, if breaches are not substantial and are redeemable, EZURU may give you notice of its intention to take measures against you or your Account and may give you an opportunity to resolve the issue to EZURU’s satisfaction, before taking such measure. If we take any of the measures described above against you as a Host, we may refund your Guests in full, except for the EZURU Service Fees which are non-refundable, for any and all bookings that have been cancelled, notwithstanding the applicable cancellation policy, and you will not be entitled to compensation for such bookings, pending or confirmed. When this agreement has been terminated, you are not entitled to a restoration of your EZURU Account or any of your Member Content. If your access to or use of the EZURU Platform has been limited or your EZURU Account has been suspended or this Agreement has been terminated by us, you may not register a new EZURU Account or access and use the EZURU Platform through an EZURU Account of another Member.
Sections 1, 2, 7, and 18 – 21 of these Terms and Conditions shall survive any termination or expiration of this Agreement.
If you choose to use the EZURU Platform or Collective Content, you do so voluntarily and at your sole risk. The EZURU Platform and Collective Content is provided as is, without any warranties of any kind, express or implied. You acknowledge and agree that you have had whatever opportunity you consider necessary to investigate the EZURU Services, and the applicable laws, rules or regulations and that you are not relying upon any statement of law or fact, express or implied, made by EZURU relating to EZURU Services or to any Listing. If we choose to conduct identity verification or background checks on any Member, to the extent permitted by applicable law, we disclaim warranties of any kind, express or implied, that such checks will accurately verify identity or identify prior misconduct by a Member or guarantee that a Member will not engage in misconduct in the future.
You agree that some Experiences, Events, and other Host Services, may carry inherent risk, and by participating in such services, you choose to assume those risks voluntarily, and on behalf of any minors for whom you are responsible. For example, some Host Services may carry a risk of illness, bodily injury, disability, or death, and you freely and willfully assume those risks by choosing to participate in those Host Services. You assume full responsibility for the choices you make before, during and after your participation in a Host Service. If you are bringing a minor as an additional guest, you are solely responsible for the supervision of that minor throughout the duration of your engagement of and/or participation in the Host Service and to the maximum extent permitted by law, you agree to release and hold EZURU free from all liabilities and claims that may arise in any way from any injury, death, loss or harm that occurs to that minor during the provision of the Host Service or in any way related to the Host Service.
The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights. However, the duration of statutorily required warranties, if any, shall be limited to the maximum extent permitted by law.
Experience or Event or use of any other Host Service, or any other interaction you have with other Members whether in person or online remains solely and fully with you. Neither EZURU nor any other party involved in creating, producing, or delivering the EZURU Platform or Collective Content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with these Terms and Conditions and Associated Terms and Policies, from the use of or inability to use the EZURU Platform or Collective Content, from any communications, interactions or meetings with other Members or other persons with whom you communicate, interact or meet with as a result of your use of the EZURU Platform, or from your publishing or booking of a Listing, including the provision or use of a Listing’s Host Services, whether or not EZURU has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose. Except for our obligations to pay amounts to applicable Hosts pursuant to these Terms and Conditions, in no event will EZURU’s aggregate liability arising out of or in connection with these Terms and Conditions and your use of the EZURU Platform including, but not limited to, from your publishing or booking of any Listings via the EZURU Platform, or from the use of or inability to use the EZURU Platform or Collective Content and in connection with any Accommodation, Experiences, Event, other Host Service, or interactions with any other Members, exceed the amounts you have paid or owe for bookings via the EZURU Platform as a Guest in the 12 month period prior to the event giving rise to the liability, or if you are a Host, the amounts paid by EZURU to you in the 12 month period prior to the event giving rise to the liability, or one thousand five hundred Egyptian pounds (1,500 EGP), or the equivalent in your local currency, if no such payments have been made, as applicable. The limitations of damages set forth above are fundamental elements of the basis of the bargain between EZURU and you. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.
To the maximum extent permitted by applicable law, you agree to release, defend (at EZURU’s option), indemnify, and hold EZURU and its affiliates and subsidiaries, including but not limited to their officers, directors, employees and agents, free from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your breach of these Terms and Conditions or Associated Terms and Policies, your improper use of the EZURU Platform, your interaction with any Member, stay at an Accommodation, participation in an Experience, Event or other Host Service, including without limitation any injuries, losses or damages of any kind arising in connection with or as a result of such interaction, stay, participation or use, EZURU’s collection and remittance of Taxes, or your breach of any laws, regulations or third party rights.
We welcome and encourage you to provide feedback, comments and suggestions for improvements to the EZURU Platform. You may submit Feedback by emailing us, or by other means of communication. Any Feedback you submit to us will be considered non-confidential and nonproprietary to you. By submitting Feedback to us, you grant us a nonexclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use and publish those ideas and materials for any purpose, without compensation to you.
